Welcome to Dune Theory. These Terms of Service ("Terms," "Terms of Service," or "Agreement") govern your access to and use of the Dune Theory website, online store, products, services, content, and related features (collectively, the "Services").

By accessing or using the Dune Theory website, creating an account, placing an order, or otherwise using our Services, you agree to be bound by these Terms and our applicable policies, including our Return & Refund Policy, Shipping Policy, Privacy Policy, and Warranty Policy, each of which is incorporated into these Terms by reference.

If you do not agree to these Terms, please do not use the website or purchase products from Dune Theory.

1. About Dune Theory

Dune Theory is an online retailer of off-road, automotive, overlanding, recovery, adventure, and related products.

Many products offered through Dune Theory are manufactured and fulfilled by independent third-party manufacturers, suppliers, or distribution partners. Products may therefore ship directly from a manufacturer or supplier rather than from a Dune Theory facility.

Dune Theory is not the manufacturer of third-party products unless expressly identified as the manufacturer of a particular product.

2. Acceptance of These Terms

By accessing or using the Services, you represent that you have the legal capacity to enter into these Terms.

If you are purchasing products on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms.

These Terms apply to all purchases made through Dune Theory unless a separate written agreement signed by Dune Theory expressly provides otherwise.

3. Website Use

You agree to use the Dune Theory website only for lawful purposes.

You may not:

• Use the website in violation of any applicable law or regulation.

• Attempt to gain unauthorized access to any account, system, server, or network.

• Interfere with or disrupt the operation or security of the website.

• Use automated systems, bots, scrapers, or similar methods to access or collect website information without authorization.

• Upload malicious code, viruses, or other harmful material.

• Attempt to circumvent security features or access restrictions.

• Use the website to engage in fraudulent activity.

• Reproduce, copy, distribute, modify, or exploit Dune Theory content without authorization.

Dune Theory reserves the right to restrict, suspend, or terminate access to the Services when reasonably necessary to protect the website, customers, business operations, or other users.

Dune Theory makes reasonable efforts to provide accurate product descriptions, specifications, photographs, pricing, compatibility information, availability information, and other product content.

However, product information may originate from manufacturers, suppliers, distributors, or other third parties.

Product images may differ from the actual product due to photography, lighting, display settings, manufacturing revisions, or other factors.

Manufacturers may modify product specifications, designs, colors, packaging, materials, or features without notice.

Dune Theory does not guarantee that every product description, photograph, specification, dimension, compatibility statement, or other product information will always be complete, current, or error-free.

Where manufacturer specifications conflict with information displayed by Dune Theory, the manufacturer's current specifications should be considered controlling, subject to applicable law.

5. Product Compatibility

Customers are responsible for confirming that a product is appropriate and compatible with their vehicle, application, intended use, and configuration before purchase and installation.

Vehicle configurations may vary by model year, trim, drivetrain, options, modifications, production changes, and region.

Dune Theory may provide vehicle compatibility information as a convenience, but customers should independently verify compatibility when necessary.

If professional installation is recommended by the manufacturer, customers should have the product installed by a qualified professional.

6. Vehicle Modification and Off-Road Use

Off-road vehicles and vehicle modifications involve inherent risks.

Products sold through Dune Theory may affect vehicle handling, ground clearance, weight distribution, performance, braking, suspension characteristics, visibility, or other vehicle characteristics.

Customers are responsible for determining whether a product is suitable for their intended use and for ensuring that products are installed, maintained, and operated according to manufacturer instructions, applicable laws, and appropriate safety practices.

Customers are responsible for understanding the risks associated with vehicle modification and off-road use.

Dune Theory does not encourage unsafe, unlawful, reckless, or irresponsible operation of any vehicle or equipment.

7. Product Installation

Unless expressly stated otherwise, Dune Theory does not provide installation services.

Installation should be performed according to the manufacturer's instructions.

Customers are responsible for ensuring that products are installed correctly and safely.

Improper installation, modification, misuse, abuse, neglect, or failure to follow manufacturer instructions may void applicable manufacturer warranties and may create safety risks.

Installation labor and related costs are generally the customer's responsibility unless expressly agreed otherwise in writing.

8. Orders and Acceptance

Submitting an order through the Dune Theory website constitutes an offer to purchase the selected products.

An order is not considered accepted until Dune Theory or the applicable fulfillment partner accepts and processes the order.

Dune Theory reserves the right to refuse, cancel, limit, or modify any order for legitimate business reasons, including:

• Product availability

• Pricing or listing errors

• Suspected fraud

• Payment problems

• Manufacturer or supplier restrictions

• Shipping limitations

• Inventory limitations

• Incorrect customer information

• Other circumstances that prevent fulfillment

If Dune Theory cancels an order after payment has been processed, the applicable amount paid for the canceled portion will be refunded.

9. Pricing and Product Availability

Dune Theory reserves the right to change product prices, availability, specifications, promotions, and other product information at any time.

Prices displayed at the time an order is accepted generally apply to that order.

Dune Theory does not guarantee that products will remain available after an order is placed.

Manufacturer and supplier availability may change without notice.

10. Manufacturer Fulfillment and Shipping Times

Many Dune Theory products are fulfilled directly by manufacturers or suppliers.

Shipping and fulfillment dates provided by Dune Theory are estimates only unless expressly stated otherwise.

Dune Theory does not guarantee manufacturer fulfillment times, inventory availability, carrier transit times, or delivery dates.

Orders may be shipped in multiple packages or from multiple locations.

Customers may receive separate tracking information for different products within the same order.

Dune Theory is not responsible for manufacturer or carrier delays beyond Dune Theory's reasonable control, subject to applicable law.

Shipping charges and responsibilities are governed by the Dune Theory Shipping Policy.

11. Order Changes and Cancellations

Dune Theory's standard order-cancellation structure is:

• Orders may be changed or canceled without a cancellation fee during the first 72 hours after the order is placed.

• After the initial 72-hour period, cancellations involving Dune Theory-manufactured products may be subject to a 10% cancellation fee.

• After the initial 72-hour period, cancellations involving third-party products may be subject to a 20% cancellation fee.

Certain orders may become non-cancellable once processing, manufacturing, fulfillment, or shipment has begun.

Customers should contact Dune Theory as soon as possible when requesting a cancellation or order change.

12. Returns and Refunds

Returns are governed by the Dune Theory Return & Refund Policy, which is incorporated into these Terms by reference.

Among other requirements:

• Eligible returns must be initiated within 14 days of delivery.

• Returned products must be received within 28 days of delivery.

• Prior Dune Theory approval is required.

• A valid Dune Theory RMA is required.

• Eligible non-defective returns are subject to a 25% restocking fee.

• Verified manufacturer errors are not subject to the restocking fee.

• Original shipping charges are non-refundable.

• Return-shipping responsibility depends on the reason for the return and applicable manufacturer requirements.

• Clearance and designated final-sale products are non-refundable and non-exchangeable.

Customers should review the complete Return & Refund Policy before requesting a return.

13. Warranties

Third-party products sold by Dune Theory are generally covered, if at all, by the applicable manufacturer's warranty.

Dune Theory does not manufacture third-party products and does not independently provide or administer the manufacturer's warranty.

Warranty duration, coverage, exclusions, eligibility, remedies, and claim procedures are determined by the applicable manufacturer.

Customers seeking warranty assistance for a third-party product should follow the applicable manufacturer's warranty process and contact the manufacturer as directed by Dune Theory.

Dune Theory may provide reasonable assistance in directing customers to the appropriate manufacturer but does not replace the manufacturer's warranty process.

Any warranty provided by Dune Theory for a product actually manufactured and sold by Dune Theory will be governed by a separate Dune Theory warranty.

Nothing in these Terms is intended to disclaim or limit any warranty, right, or remedy that cannot lawfully be disclaimed or limited.

14. Third-Party Manufacturers and Suppliers

Dune Theory works with independent manufacturers, suppliers, distributors, and fulfillment partners.

These third parties may establish their own:

• Product specifications

• Warranty terms

• Return requirements

• Shipping requirements

• Product availability

• Manufacturing schedules

• Product restrictions

• Exchange procedures

Where applicable, these manufacturer-specific requirements may affect a customer's transaction with Dune Theory.

Dune Theory is not responsible for independently honoring a manufacturer's warranty for a third-party product.

15. Payments

Customers agree to provide accurate and complete payment and billing information.

Dune Theory may use third-party payment processors to process transactions.

By submitting payment information, you authorize Dune Theory and its applicable payment provider to process the transaction.

If a payment is declined, reversed, disputed, or otherwise not successfully completed, Dune Theory may suspend or cancel the applicable order.

Customers are responsible for applicable taxes, duties, fees, and other charges associated with their purchase unless otherwise stated.

16. Fraud and Unauthorized Transactions

Dune Theory reserves the right to investigate transactions that appear fraudulent, unauthorized, abusive, or otherwise suspicious.

Orders may be delayed, canceled, or subject to additional verification when reasonably necessary to protect Dune Theory and its customers.

17. Chargebacks and Payment Disputes

Customers should contact Dune Theory directly regarding order, return, refund, shipping, or billing concerns so that Dune Theory has an opportunity to investigate and resolve the issue.

Nothing in this section limits any rights available to customers under applicable law or the rules of the applicable payment network.

18. Intellectual Property

The Dune Theory name, trademarks, logos, slogans, graphics, website design, written content, photographs, videos, product descriptions, software, and other original materials provided by Dune Theory are owned by or licensed to Dune Theory and are protected by applicable intellectual-property laws.

You may not reproduce, modify, distribute, sell, publicly display, create derivative works from, or commercially exploit Dune Theory intellectual property without prior written permission.

Manufacturer names, logos, trademarks, product photographs, and other third-party materials remain the property of their respective owners.

19. User-Generated Content

If Dune Theory allows customers to submit reviews, photographs, videos, comments, testimonials, builds, or other content, you remain responsible for the content you submit.

By submitting content to Dune Theory, you represent that you have the right to submit it and that it does not violate the rights of another person or entity.

To the extent permitted by applicable law, you grant Dune Theory a non-exclusive, royalty-free, worldwide license to use, reproduce, display, distribute, and publish submitted content for Dune Theory's business, marketing, promotional, and social-media purposes.

Dune Theory reserves the right to remove content that is unlawful, abusive, misleading, defamatory, infringing, or otherwise inappropriate.

20. Links to Third-Party Websites

The Dune Theory website may contain links to websites operated by manufacturers, suppliers, service providers, social-media platforms, payment providers, or other third parties.

Dune Theory does not control third-party websites and is not responsible for their content, availability, privacy practices, security, or terms.

Accessing third-party websites is at your own discretion and risk.

21. Website Availability

Dune Theory does not guarantee that the website or Services will always be available, uninterrupted, secure, or error-free.

Website availability may be affected by maintenance, technical problems, hosting issues, cyber incidents, third-party services, or circumstances beyond Dune Theory's reasonable control.

Dune Theory may modify, suspend, or discontinue portions of the website or Services at any time.

22. Disclaimer of Certain Warranties

To the fullest extent permitted by applicable law, the Dune Theory website and Services are provided on an "as available" and "as is" basis.

Dune Theory does not guarantee that the website will be uninterrupted, error-free, secure, or free of harmful components.

Dune Theory makes reasonable efforts to provide accurate information but does not warrant that all website content will always be complete, accurate, current, or error-free.

Nothing in these Terms excludes or limits any warranty or consumer right that cannot legally be excluded or limited.

23. Limitation of Liability

To the fullest extent permitted by applicable law, Dune Theory and its owners, officers, employees, agents, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of the website, purchase or use of third-party products, delays, loss of use, loss of profits, business interruption, or other consequential losses.

To the fullest extent permitted by applicable law, Dune Theory's aggregate liability arising from a particular transaction will not exceed the amount actually paid to Dune Theory for the product or service giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.

Customers acknowledge that third-party products may involve inherent risks associated with vehicle modification, installation, mechanical use, electrical systems, off-road operation, recovery equipment, and other intended applications.

Customers are responsible for using products according to manufacturer instructions and applicable laws.

Nothing in these Terms is intended to eliminate rights or remedies that cannot legally be waived.

25. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Dune Theory and its owners, officers, employees, agents, affiliates, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from:

• Your violation of these Terms

• Your unlawful use of the website

• Your misuse of the Services

• Your violation of another person's rights

• Your unauthorized use of Dune Theory intellectual property

• Your negligent or unlawful use of products

This provision does not require you to indemnify Dune Theory for matters that cannot legally be shifted to you.

These Terms, together with the policies incorporated by reference and any applicable written agreement between Dune Theory and the customer, constitute the agreement governing use of the Dune Theory Services and purchases made through the website.

If a separate written agreement signed by Dune Theory expressly conflicts with these Terms, the separate written agreement will control to the extent of the conflict.

32. Governing Law and Disputes

These Terms will be governed by the laws applicable in the State of Louisiana, without regard to conflict-of-law principles, except to the extent federal law or applicable consumer-protection law provides otherwise.

Before initiating formal legal proceedings, the parties should make a good-faith effort to resolve the dispute directly through Dune Theory customer service.

Any mandatory venue, arbitration, class-action, or dispute-resolution provisions should be finalized following legal review to ensure compliance with applicable Louisiana and federal law.
